Material Consent Agreement

Use of Certified Company’s Media and Survey Information

THIS CONSENT & RELEASE AGREEMENT is made between GPTW Institute Philippines, Inc., (“GPTW”) with address at Level 24, BGC Corporate Center, 30th Street corner 11th Avenue, BGC, Taguig, Philippines 1634, and “Great Place To Work® Certified Company” or herein referred to as the COMPANY.

GPTW is the owner of the MATERIAL defined and identified for the purposes of this Agreement as the Certified Company’s Media and Survey Information that is the Intellectual Property and/or proprietary, copyrighted MATERIAL of GPTW. The COMPANY consents to allow limited use of the INFORMATION as enumerated below, subject to the terms and conditions below.

GENERAL TERMS AND CONDITIONS

  1. COMPANY grants GPTW, its parent company, affiliates and subsidiaries, a non- exclusive, non-transferrable, non-assignable, non-sublicensable license to use and/or publish the following INFORMATION below and as presented in the attached sample Certified Companies’ webpage in GPTW’s articles, website, marketing materials, advertisements, promotion or press release purposes:
    • photos and videos that represent the Company including those taken by GPTW,
    • description about the Company as provided by the Company,
    • some information from the Company’s Trust Index© Survey specifically the overall Trust Index© score
    • Top 5 statements and its corresponding scores based on the Trust Index© report,
    • quotes from the Company’s employees as provided by the Company.
  2. These INFORMATION will be used for the following purposes:
    • to use on GPTW’s public websites,
    • to use on GPTW’s social media platforms,
    • to use in advertisements promoting the COMPANY’s status as a Certified Workplace in your country,
    • to use on publicly displayed platform in presentation, conferences and other work locations (e.g., screen at the office reception)
    • to use in materials for all GPTW events, such as the Annual Philippines Best Workplaces List Reveal.
  3. All right, title and interest, except derivative work, in the INFORMATION (e.g. video interview, Certified Company’s webpage) contained in the MATERIAL, including the intellectual property embodied therein, is and shall remain the sole property of the COMPANY. Any derivative work created by GPTW using the INFORMATION shall remain the exclusive property of GPTW and any intellectual property rights, title and interest in the MATERIAL shall belong and remain the sole and exclusive property of GPTW.
  4. This Agreement exists only for the specific use for which permission to use the INFORMATION is granted, and the terms of this Agreement are not transferable to other uses. Either party may terminate this Agreement with 30 days written notice. Upon the expiration or termination, GPTW and COMPANY shall not be required to destroy or delete any documents, items or records (e.g. emails) which were created before the termination of this Agreement and which contain the MATERIAL. COMPANY shall affirm such destruction and/or deletion upon request from either party, email being sufficient.
  5. The COMPANY represents and warrants to GPTW that the COMPANY owns or owns the right to all INFORMATION and has the right to sublicense to GPTW the use thereof for GPTW’s articles, websites, marketing materials, advertisements, promotion, press release, and for other marketing purposes.
  6. The COMPANY shall hold GPTW free and harmless from and against any and all suits or claims, actions, or proceedings, damages, costs and expenses, including attorney’s fees, which may be filed, charged or adjudged against GPTW or any of its directors, stockholders, officers, employees, agents or representatives in connection with or arising from GPTW’s use of the INFORMATION pursuant to GPTW’s reliance on the COMPANY’s representation and warranty that the COMPANY has the right to sublicense the INFORMATION to GPTW for the aforementioned purposes.

ABOUT OUR METHOLOGY​

To be eligible for the World’s Best Workplaces list, a company must apply and be named to a minimum of 5 national Best Workplaces lists within our current 58 countries, have 5,000 employees or more worldwide, and at least 40% of the company’s workforce (or 5,000 employees) must be based outside of the home country. Extra points are given based on the number of countries where a company surveys employees with the Great Place to Work Trust Index©, and the percentage of a company’s workforce represented by all Great Place to Work surveys globally. Candidates for the 2017 Worlds Best Workplaces list will have appeared on national workplaces lists published in September 2016 through August 2017.
